Terms of Use.

1. Acceptance of These Terms

These Terms of Use (the “Terms”) govern access to and use of the websites, applications, portals, dashboards and related services made available by CCAN Technologies Inc. (“CCAN”, “we”, “us” or “our”), including services made available through ccanaccess.com (collectively, the “Services”).

By accessing or using the Services, creating an account, submitting information through the Services, or clicking a button or checkbox indicating acceptance where presented, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Certain CCAN services may be subject to additional terms, including courier terms, building pilot or services agreements, or commercial/API agreements. If additional terms apply to a particular service, those additional terms form part of your agreement with CCAN and will govern to the extent of any conflict concerning that service.

2. About CCAN

CCAN provides delivery intelligence, courier trust and access-related technology designed for multi-residential properties. Depending on the Services used, CCAN may help participating properties communicate building-specific delivery policies, verify courier identity or eligibility, provide delivery-session visibility, facilitate resident authorization, validate courier proximity, support concierge workflows and facilitate compatible access processes.

CCAN is an independent technology provider. CCAN is not a delivery marketplace, courier employer, property manager, condominium corporation, landlord, security guard service, or delivery company.

3. Building Policies and Control

Participating properties remain responsible for establishing and enforcing their own delivery, visitor and access policies. A building may determine, among other things, whether deliveries are permitted to individual units or restricted to a lobby or designated area, what identification or check-in requirements apply, permitted delivery hours, elevator procedures, after-hours rules and expected delivery-session time limits.

CCAN may communicate, organize and help operationalize those policies, but CCAN does not independently create a building's rules or require a building to admit a courier.

Your building sets the policy. CCAN makes it actionable.

4. Building Policy Information

Building owners, condominium corporations, property managers, authorized building representatives and other authorized users may submit or update building delivery-policy information through CCAN. The person submitting information represents that they are authorized to provide it and agrees to provide information that is accurate and reasonably current.

CCAN may organize, display and communicate building-policy information through the Services to users for delivery-related purposes. Building policies may change, and CCAN does not guarantee that every policy displayed through the Services is complete, current or applicable to every circumstance. On-site instructions from authorized building personnel may take precedence where appropriate.

5. Courier Verification

CCAN may offer courier verification or eligibility features. A designation such as “CCAN Verified Courier” means only that the courier has completed the verification requirements established by CCAN for that designation at the relevant time.

Verification is not a guarantee, certification or warranty of a courier's character, conduct, honesty, safety, reliability, driving ability, delivery performance or future behaviour. Buildings, residents and other users remain responsible for decisions within their control.

6. Courier Responsibilities

Couriers using CCAN must:

  • provide accurate and current registration and delivery-session information;
  • use only their own CCAN account, verification status and credentials;
  • comply with applicable building policies and lawful instructions from authorized building personnel;
  • enter only areas authorized for the applicable delivery and remain only as long as reasonably necessary to complete that delivery;
  • not share temporary access information, credentials or authorizations with another person;
  • not use a CCAN delivery session to obtain access for an unrelated purpose; and
  • comply with applicable laws and the rules of any delivery platform through which the underlying delivery is being performed.

7. Resident Authorization

Where a CCAN workflow requests resident authorization, the resident's approval authorizes CCAN to process the applicable delivery or access workflow for that delivery. Resident authorization does not override building policy, guarantee access, create permanent access rights, or require a building to admit a courier.

Residents are responsible for ensuring that delivery information and authorizations they provide are accurate and relate to deliveries or visitors they reasonably expect.

8. Delivery and Access Sessions

Any CCAN delivery session, temporary credential, access authorization, intercom workflow or similar mechanism is limited to the applicable delivery, participating property and permitted purpose. It is personal to the authorized user and may not be transferred or reused.

Access may depend on factors such as building policy, resident authorization, courier verification or eligibility, proximity or geolocation, session status, system availability and other configured conditions. An authorization may expire, be denied, be revoked, be consumed after use, or otherwise become unavailable.

CCAN does not guarantee that access will be granted or that any access system, intercom, elevator, door, network or third-party service will operate successfully at a particular time.

9. Geolocation and Proximity

Certain CCAN features may require access to device location information. CCAN may use location or proximity information to determine whether a courier is approaching or present at a participating property, validate an active delivery or access session, reduce unauthorized use, support delivery visibility and maintain appropriate security or audit records.

The collection, use, disclosure and retention of personal information, including location information, are addressed in greater detail in CCAN's Privacy Policy. Users must not manipulate, falsify or intentionally interfere with location information used by the Services.

10. Delivery Time Limits and Extensions

A participating property may establish an expected or maximum time for a courier delivery session within the property. CCAN may display the applicable time, notify a courier when the permitted period is approaching, or permit a courier to request additional time and provide a reason for the request.

A request for additional time does not guarantee that an extension will be approved. An exceeded time limit or exception may be recorded for operational or review purposes but does not, by itself, establish misconduct.

11. Delivery Platforms and Third Parties

CCAN is independent of third-party delivery platforms and service providers. References to third-party companies, platforms or services are for identification or interoperability purposes and do not imply sponsorship, endorsement or partnership unless CCAN expressly states otherwise.

The underlying order, payment, delivery assignment, courier compensation, product quality, refund, cancellation and other marketplace matters remain subject to the applicable third-party platform's terms and the arrangements between the relevant parties. CCAN is not responsible for those matters.

12. Accounts and Security

Users are responsible for maintaining the confidentiality and security of their account credentials and for activity conducted through their accounts. Users must promptly notify CCAN if they reasonably believe an account, credential, authorization or access mechanism has been lost, compromised or used without authorization.

CCAN may require identity, phone, email or other verification steps before enabling particular Services or account privileges.

13. Prohibited Uses

You may not use the Services to:

  • gain or attempt to gain unauthorized access to a building, unit, system, account or restricted area;
  • impersonate another person or misrepresent your identity, role, delivery status or authority;
  • share, sell, transfer or misuse account credentials, temporary access information or delivery authorizations;
  • circumvent or interfere with verification, geolocation, security, access or time-limit controls;
  • introduce malicious code or disrupt, probe or interfere with CCAN or connected systems;
  • scrape, harvest, reproduce or commercially exploit CCAN data except as expressly authorized;
  • use information obtained through CCAN for stalking, harassment, discrimination, surveillance unrelated to the Services, or another unlawful purpose; or
  • use the Services in a manner that violates applicable law, these Terms, building policy or third-party rights.

14. Records and Operational Information

Subject to CCAN's Privacy Policy and applicable law, CCAN may create and maintain records relating to use of the Services. Depending on the feature, these may include account or verification information, delivery-session identifiers, building or authorized destination information, resident authorization status, timestamps, proximity events, access events, session duration, extension requests, exceptions and incident-related information.

Operational records are intended to support the Services, accountability, troubleshooting, security and legitimate review. A record, alert, flag or exception generated by CCAN does not necessarily establish fault, misconduct or legal liability.

15. Suspension and Termination

CCAN may suspend, restrict or terminate access to some or all Services where CCAN reasonably believes this is necessary to address suspected fraud, misuse, unauthorized access, material or repeated policy violations, threats to safety or security, legal requirements, non-payment where applicable, or risks to CCAN, participating properties, residents, couriers or third parties.

Where appropriate, CCAN may investigate reported incidents and request information reasonably necessary to review an account or delivery session.

16. Service Availability and Technology Limitations

CCAN aims to provide reliable Services but does not guarantee uninterrupted, error-free or continuously available operation. The Services may depend on internet connectivity, cellular networks, device permissions, GPS or other location technologies, third-party telephony, cloud services, delivery platforms, building intercoms, access-control equipment and other systems outside CCAN's control.

CCAN may modify, suspend, update or discontinue features from time to time, including where required for security, maintenance, legal compliance or product development.

17. Intellectual Property

The Services and their software, interfaces, branding, documentation, databases, designs, workflows and other content are owned by or licensed to CCAN and are protected by applicable intellectual-property laws. Subject to these Terms, CCAN grants users a limited, revocable, non-exclusive and non-transferable right to use the Services for their intended purpose.

Except where expressly permitted, users may not copy, modify, reverse engineer, distribute, sell, sublicense or create derivative works from the Services or CCAN content.

18. Privacy

CCAN's collection, use, disclosure and protection of personal information are described in its Privacy Policy. By using features that involve personal information, users acknowledge that such information will be handled in accordance with the Privacy Policy and applicable law.

19. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. CCAN does not warrant that the Services will be uninterrupted, error-free, completely secure, or suitable for every building, delivery or access environment.

CCAN does not guarantee the conduct, safety, reliability or performance of any courier, resident, building representative, delivery platform or other third party. CCAN's verification, authorization, visibility and recordkeeping features are tools intended to improve delivery operations and accountability; they do not eliminate all security, operational or human risk.

Nothing in these Terms excludes warranties, conditions, rights or remedies that cannot lawfully be excluded or limited.

20. Limitation of Liability

To the maximum extent permitted by applicable law, CCAN and its directors, officers, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, data or goodwill, arising from or related to use of or inability to use the Services.

CCAN is not responsible for losses caused by third-party delivery platforms, couriers, residents, building personnel, building policies, internet or telecommunications failures, inaccurate information supplied by users, or failures of building intercom, access-control or other third-party systems.

Any monetary cap or additional allocation of liability applicable to paid building, courier or commercial services may be set out in the separate agreement governing that service. This section is subject to rights and remedies that cannot lawfully be excluded or limited.

21. Indemnity

To the extent permitted by law, a user agrees to indemnify and hold harmless CCAN and its directors, officers, employees and contractors from third-party claims, losses, liabilities and reasonable costs arising from that user's unlawful use of the Services, material breach of these Terms, misuse of access credentials or authorizations, or infringement of another person's rights. This provision does not apply to the extent a claim results from CCAN's own conduct for which liability cannot lawfully be excluded.

22. Changes to These Terms

CCAN may update these Terms from time to time. The current version will be posted through the Services with an updated effective date. Where required by law or where a change is material, CCAN will provide additional notice or obtain consent as appropriate.

Continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.

23. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Subject to any rights or procedures that cannot lawfully be waived, disputes relating to these Terms or the Services will be brought before the courts of Ontario.

24. General

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law. A failure by CCAN to enforce a provision is not a waiver of that provision. Users may not assign their rights or obligations under these Terms without CCAN's consent. CCAN may assign these Terms as part of a corporate reorganization, financing, merger, acquisition or sale of all or substantially all of the relevant business or assets, subject to applicable law.
